Seller Agreement

This Seller Agreement ("Agreement") applies to all sellers ("you", "Seller") who list products on Fabrica at fabricatools.com. By completing seller onboarding and checking the agreement box, you agree to be bound by these terms in addition to Fabrica's Terms of Service.
1. Revenue split
Fabrica operates on an 80/20 revenue split. You receive 80% of the gross sale price of each transaction. Fabrica retains 20% as a platform fee.
Stripe payment processing fees are deducted from your 80% share before payout. Typical fees:

The exact Stripe fee depends on the buyer's card and location.
You will not receive any portion of Fabrica's 20% platform fee under any circumstances.
2. Payouts
Payouts are processed weekly every Monday to the bank account or payment method you connect via Stripe Connect in your seller dashboard.
Minimum payout threshold: £100. If your balance does not reach £100 in a given week, it rolls over to the following week. At the end of each calendar month, any outstanding balance is paid out regardless of the minimum threshold.
Fabrica reserves the right to withhold payouts pending fraud investigation, chargeback disputes or breach of this Agreement.
3. Your content
By listing on Fabrica you confirm that:
- You are the original creator of the content you list, or you hold all necessary rights and licences to sell it.
- Your listings contain no malware, spyware, credential stealers, harmful scripts or prohibited code of any kind.
- Your descriptions, screenshots, demos and tags accurately represent what the buyer will receive.
- Your tools do not infringe the intellectual property, privacy or other rights of any third party.
- You will not list AI-generated content that you have not meaningfully created, reviewed or adapted yourself.
4. Content policy
You may not list tools that:
- Contain or facilitate malware, phishing, spam or illegal activity
- Scrape, harvest or process personal data without consent
- Bypass, circumvent or exploit AI platform safety systems
- Impersonate individuals, companies or AI systems
- Make false claims about capabilities, income potential or results
- Infringe copyright, trademark or other intellectual property
- Are primarily composed of publicly available content repackaged without meaningful original contribution
Fabrica may remove listings, suspend accounts or withhold payouts for violations without prior notice.
5. Listing approval
All listings are reviewed by Fabrica before going live. We aim to review listings within 24 hours. Approval is at Fabrica's sole discretion. We may reject listings that do not meet our quality standards, content policy or marketplace fit — even if they do not violate specific rules above.
Rejected listings will receive a reason. You may resubmit after making the requested changes.
6. Buyer disputes and refunds
Each listing must have a clearly stated refund policy. You must honour the refund policy you select.
If a buyer disputes a purchase, you agree to respond within 48 hours. Fabrica may issue a refund on your behalf and deduct it from future payouts if:
- The listing materially misrepresented what was delivered
- The file was corrupt, missing or non-functional
- You fail to respond to a dispute within 48 hours
- A chargeback is upheld by Stripe
7. Licence granted to buyers
When a buyer purchases your tool, you grant them a non-exclusive, non-transferable licence to use the tool for personal or internal business purposes, unless your listing explicitly states a commercial licence is included.
You retain full ownership of your tools at all times. Fabrica does not acquire any ownership rights over your content.
8. Licence granted to Fabrica
By listing on Fabrica, you grant Fabrica a non-exclusive, worldwide, royalty-free licence to display, reproduce and distribute your listing content — including titles, descriptions, images, previews and excerpts — solely for the purpose of operating and promoting the marketplace.
This licence ends if you remove your listing, except that Fabrica may retain cached or archived copies for a reasonable period.
9. Account suspension and termination
Fabrica may suspend or terminate your seller account at any time for breach of this Agreement, the Terms of Service or the content policy. We will provide notice where reasonably practicable.
On termination, any outstanding payout balance owed to you (minus any refunds, chargebacks or fees) will be paid within 30 days, unless withheld due to fraud investigation or legal obligation.
10. Tax
You are solely responsible for declaring and paying income tax, VAT (where applicable) and any other taxes on your earnings from Fabrica in your jurisdiction.
Fabrica collects and remits VAT on sales to EU and UK buyers as the deemed supplier under digital services rules. This does not affect your obligation to handle your own income tax.
Fabrica may provide monthly transaction statements to assist with your records but does not provide tax advice.
11. Governing law
This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes
Fabrica may update this Agreement from time to time. Material changes will be communicated by email and posted on this page with an updated date. Continued use of the seller features after the effective date constitutes acceptance.
