Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fabrica at fabricatools.com("Fabrica", "we", "us"). Fabrica is a trading name of Meridian Digital Holdings LLC. By creating an account or using the platform, you agree to these Terms.
1. What Fabrica is
Fabrica is an online marketplace where independent creators ("Sellers") list AI tools, agents, prompts, skills, workflows and related digital products ("Tools"), and buyers ("Buyers") purchase them for use with their own AI software.
Fabrica is a marketplace, not a SaaS product. We provide listing, discovery, payment processing and secure delivery infrastructure. We do not operate the AI models or services that Tools are designed to work with, and we are not a party to the licence granted between Buyer and Seller except as described below.
2. Eligibility and accounts
You must be at least 18 years old and capable of entering a binding contract to use Fabrica. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate registration information and to keep it up to date. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a fraud or security risk.
3. Seller obligations
If you list Tools on Fabrica, you agree that:
- You own or have all necessary rights to the content you upload and sell.
- Your listings and Tools contain no malware, spyware, credential stealers or harmful code.
- Descriptions, demos, screenshots and tags are accurate and not misleading about what the Tool does, which platforms it supports and what is included in the purchase.
- You will honour the refund policy you select for each listing and respond to buyer support enquiries in a reasonable timeframe.
- You comply with applicable laws, including export controls, intellectual property law and consumer protection rules in markets where you sell.
We may remove listings, withhold payouts or suspend Seller accounts that breach these obligations.
4. Buyer obligations and licence
When you purchase a Tool, you receive a licence from the Seller — not from Fabrica — subject to the listing description and any licence terms stated on the product page.
Unless a listing explicitly includes a commercial licence, Tools are licensed for personal or internal business use by the purchasing account holder. You may not resell, redistribute, publicly share or sublicense a Tool except where the Seller expressly permits it.
You are responsible for ensuring the Tool is compatible with your setup and for complying with the terms of any third-party AI platform (Claude, ChatGPT, Gemini, Cursor, etc.) you use it with.
5. Fees, payouts and Stripe
Fabrica operates on an 80/20 revenue split: Sellers receive 80% of the gross sale price; Fabrica retains 20% as a platform fee.
Payment processing is handled by Stripe. Stripe processing fees are deducted from the Seller's 80% share before payout. Fabrica does not store full payment card details.
Seller payouts are made on a weekly schedule to the payout method configured in the Seller dashboard, subject to minimum thresholds, fraud review and applicable withholding requirements.
6. File delivery
Digital goods are delivered via time-limited signed URLs generated after successful payment. Unless otherwise stated on a listing:
- Download links expire 30 days after purchase.
- Each purchase includes up to 5 download attempts.
- Buyers should download and store files promptly. Fabrica is not obliged to regenerate expired links except where required by law or at our discretion in dispute resolution.
7. Prohibited content
You may not list, sell, purchase or use Tools on Fabrica that:
- Contain malware or are designed to compromise systems or steal data.
- Consist primarily of scraped, stolen or unlawfully obtained datasets or content.
- Facilitate spam, phishing, harassment or illegal activity.
- Misrepresent capabilities (e.g. claiming guaranteed income, impersonation or bypassing platform safety systems).
- Infringe third-party intellectual property or privacy rights.
We may remove content and report illegal activity to authorities where appropriate.
8. Intellectual property
Sellers retain ownership of their Tools. By listing on Fabrica, Sellers grant Fabrica a non-exclusive, worldwide, royalty-free licence to display, promote, reproduce and distribute listing content (titles, descriptions, images, previews) solely for operating and marketing the marketplace.
Fabrica's name, logo, website design and platform code are our intellectual property. You may not use our branding without written permission.
9. Refunds and disputes
Each Seller selects a refund policy for their listing (e.g. 30-day refund, 7-day refund or no refunds). Buyers should review this before purchasing.
If a Tool materially fails to work as described, Buyers may request a refund within the Seller's stated window by contacting support. Fabrica may intervene in disputes, issue refunds or chargebacks at our discretion where we find a listing was misleading or undeliverable.
Nothing in these Terms limits mandatory consumer rights under applicable law.
10. VAT and taxes
Where required, Fabrica collects and remits VAT on sales to buyers in the EU and United Kingdom, using our tax compliance provider. Displayed prices may include VAT where applicable.
Sellers are responsible for their own income tax obligations in their jurisdiction. Fabrica may provide transaction records to assist with reporting but does not provide tax advice.
11. Cookies and analytics
We use essential cookies for authentication and site functionality. We may use privacy-friendly analytics (such as Plausible) that do not require personal data or cross-site tracking. See our Privacy Policy for details. Our cookie consent banner allows you to manage non-essential preferences.
12. Disclaimer and limitation of liability
Fabrica is provided "as is" and "as available". We do not warrant that Tools will meet your requirements, that listings are error-free or that the platform will be uninterrupted.
To the fullest extent permitted by law, Fabrica's total liability arising from these Terms or your use of the platform is limited to the greater of (a) amounts you paid to Fabrica in the twelve months before the claim, or (b) £100.
We are not liable for indirect, incidental, special or consequential damages, loss of profits, data or goodwill, or for the acts or omissions of Sellers, Buyers or third-party platforms.
13. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection laws in your country give you the right to bring proceedings elsewhere.
14. Changes and contact
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
